Terms & Conditions
Effective date: July 15, 2025
Quick summary (not legally binding): You buy “Hyperplexity Credits” to request AI-powered research on tables and related data. Credits aren’t cash, may be non-refundable, and can expire as described below. Outputs can be wrong; you must review before using. If we ever shut down, we may stop providing services beginning six (6) months after your most recent credit purchase, even if you have unused credits.
By creating an account, verifying your email, purchasing credits, or using any part of the service (collectively, the Services), you agree to these Terms & Conditions (the Terms). You also agree to the Privacy Notice, which is incorporated by reference. If you are accepting on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Services.
1) Definitions
- Provider, we, us, our: Eliyahu.AI, LTD, 222 Concord Ave, Unit 1, Cambridge, MA 02138, USA.
- You, Customer, User: The individual or entity using the Services.
- Services: AI-assisted research on tables and related datasets, including deliverables such as summaries, analyses, or reports (collectively, Outputs).
- Hyperplexity Credits (Credits): Prepaid, unit-based right to access specified features or usage of the Services. Credits are not currency, have no cash value, and are non-transferable except as we expressly permit.
- User Content / Data: Data, text, tables, files, prompts, or other materials you submit to the Services.
- Third-Party AI Providers: External model hosts, data sources, or infrastructure vendors used to provide the Services.
2) Eligibility & Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering a binding contract. You are responsible for your account credentials and for all activity under your account.
3) Email Verification; E-Sign Consent; Acceptance of Terms
By clicking “Verify” during email verification, you (a) confirm your email, (b) consent to receive electronic communications and records, and (c) agree to these Terms and our Privacy Notice. You may withdraw e-sign consent by closing your account; doing so may limit your ability to use the Services.

4) The Services
We provide AI-assisted research focused on tabular data. Unless we agree in writing, Services are general informational tools and not legal, financial, medical, or other professional advice. You are solely responsible for how you use Outputs.
We may present estimates of effort (e.g., “N credits per analysis”); actual consumption can vary based on complexity, data size/format, and requested depth.
5) Credits; Pricing; Expiration
- Price. Credits are priced at US $1 per credit. Prices may change at any time for future purchases. Taxes (if any) are additional and your responsibility.
- How credits are used. Credits are deducted as displayed in the product at or before use (for example, per dataset processed, per query, per page or token range, per output revision), and may also be deducted for premium features or priority support.
- No cash value. Credits are not legal tender, not a stored-value instrument, and may not be resold without our written consent.
- Expiration. Unless otherwise stated in your order, Credits expire 12 months after purchase. Expired or forfeited Credits are not refundable.
- Promotions. Promotional or trial Credits may have shorter expirations or additional conditions.
6) Payments; Taxes; No Refunds; Chargebacks
All purchases are final unless we state otherwise in writing or where required by law. You authorize us (and our payment processors) to charge your payment method for purchases, taxes, and fees. You must resolve any chargebacks with your card issuer; we may suspend or terminate your account for chargebacks or suspected fraud.
7) Acceptable Use
You will not (and will not permit others to):
- Use the Services for unlawful, harmful, deceptive, infringing, harassing, or discriminatory purposes;
- Submit or process data you lack rights or consents to use;
- Attempt to reverse engineer, tamper with, or circumvent usage limits or security;
- Use the Services to create or distribute malware, spam, or to conduct surveillance or profiling in violation of law;
- Use the Services in high-risk environments where errors could lead to death, personal injury, or severe property/environmental damage.
8) Your Content & Outputs; Confidentiality; IP
- Your rights. As between you and us, you retain ownership of your Content. You grant us a worldwide, non-exclusive license to host, process, analyze, transmit, and display your Content and Outputs as necessary to provide and maintain the Services, to comply with law, and to prevent fraud or abuse.
- Use for improvement. By default, we may use aggregated and de-identified data about usage to improve the Services and develop analytics. We do not use your raw Content or Outputs to train our models unless you separately opt-in or we have a written agreement stating otherwise.
- Confidentiality. We treat non-public Content as confidential and will use reasonable safeguards to protect it. However, you are responsible for not submitting regulated or highly sensitive data (e.g., PHI, PCI, state secrets, trade secrets) unless we have a signed data processing/addendum that explicitly permits it.
- Outputs. Subject to these Terms and third-party rights, we grant you a non-exclusive license to use Outputs for your internal purposes. Outputs may be similar to outputs provided to others. You are responsible for reviewing Outputs for accuracy and suitability before use or publication.
- Feedback. You grant us a perpetual, irrevocable, royalty-free license to use suggestions or feedback you provide.
9) Privacy & Data Protection
Our collection and use of personal data are governed by our Privacy Notice, which is incorporated into these Terms by reference. Please review the Privacy Notice carefully, as it describes in detail how we collect, process, store, and protect your information, and the rights you have under applicable laws (including GDPR and CCPA/CPRA). 10) Service Availability; Changes; Beta Features
Services may change or be interrupted. Beta features are “as is” and may be discontinued at any time.
11) Wind-Down & Shutdown (Six-Month Rule)
If we elect to permanently shut down:
- Notice may be given via email or in-product.
- If your last purchase was within 6 months, we will keep Services available for that period.
- After 6 months from your most recent purchase, we may cease Services and expire remaining credits without refund.
12) Intellectual Property
We own all rights in the Services. Except for licenses granted, all rights reserved.
13) Third-Party Services & AI Providers
We may use third-party providers subject to their terms. We are not responsible for outages.
14) Support
Standard support provided; premium support may require credits or fees.
15) Disclaimers
Services are provided “AS IS.” No warranties of accuracy, reliability, or suitability.
16) Limitation of Liability
Our total liability shall not exceed amounts you paid for credits in the six months before the claim. No indirect or consequential damages.
17) Indemnification
You will indemnify and hold us harmless from claims arising from your use, content, or violations.
18) Term; Suspension; Termination
We may suspend or terminate for fraud, misuse, or non-payment. Certain obligations survive termination.
19) Governing Law; Dispute Resolution
Governing law: Massachusetts, USA. Disputes resolved by binding arbitration under AAA rules, individual basis. No class actions. Injunctive relief may be sought in court.
20) Changes to Terms
We may update Terms. Continued use indicates acceptance.
21) Export; Sanctions; Anti-Corruption
You confirm compliance with export and sanctions laws.
22) Assignment; Force Majeure; Miscellaneous
You may not assign Terms; we may assign to affiliates or buyers. Neither party is liable for uncontrollable events. Terms constitute the entire agreement.
